The activities of Pantheras Global Limited, its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors and agents (together, “Pantheras” and/or "Pantheras Global") are, in the first instance, consulting services, i.e., providing information, materials and guidance about operational, commercial, economic, legal-related or regulatory contexts (together, “Services”).

Execution Risk Rests with the Client

The suitability, viability, sustainability, due diligence and decision making with respect to any implementation of the Services (together “Execution Risk”) is exclusively with the client. Pantheras Global is, therefore, not liable for losses incurred with corresponding outcomes or other business measures.

Services are not recommendations or advice

Any Services provided to you by Pantheras Global including, but not limited to, information or written material concerning third-party vendors, products, software, platforms or service providers should not be construed as advice or in any way an endorsement or recommendation given by Pantheras Global. Information and materials provided, whether or not provided on Pantheras Global website(s) / webpages, on third party websites, in marketing materials, communications, newsletters, email or any form of publication are provided for general information and circulation only.

No responsibility to update opinions

Opinions expressed are current opinions only as of the date indicated. Pantheras Global does not accept any responsibility to update any opinions or other information contained in Services. Through such relationships Pantheras Global may possess specific information about such other clients, firms and third-party vendors, products, software, platforms or service providers. Even if Pantheras Global has such information, Pantheras Global has no responsibility to, and may not, disclose that specific information - whether negative or positive - to you.

Correspondence must be from an Authorised Representative

Without prejudicing any other provision of this Disclaimer, any correspondence on which you may seek to rely must be signed by a Director or other duly authorised representative of Pantheras Global Limited.

Pantheras Global reserves the right and retains the authority to modify the content on this website (including this Disclaimer) at any time and without prior notification. Email and Correspondence Disclaimer

Any email and/or attachments included are confidential and intended solely for the designated recipient. Artificial Intelligence (AI) and Automated Output Disclaimer

Pantheras Global may own, develop, distribute, license, market, operate or otherwise have an interest in software, applications and other products which may use artificial intelligence, machine learning and automated processing to generate content, recommendations, rankings, recipes, analyses and other outputs. Such outputs are provided for general information only, may contain errors, omissions, biases, inaccuracies or outdated information, and must not be relied upon without independent review and verification.

Responsibility for Decisions and Use of the Products

Users are solely responsible for all decisions, actions, outcomes, selections, preparations, dietary choices, nutritional assessments, legal compliance and implementation arising from or related to the use of any products or services provided by Pantheras Global.

Software, Website and Platform Availability Disclaimer

Pantheras Global websites, software, applications and platforms are provided on an “as is” and “as available” basis. Pantheras Global does not warrant that any website, software, application, platform, integration or service will be uninterrupted, error-free, secure, available at all times, compatible with third-party systems or free from defects, viruses, loss of data or other harmful components.  

Dietary Guidance and Food Safety Disclaimer 

Nutritional values, calorie estimates, macro calculations, dietary suitability, allergy identification, recipe substitutions, portion sizes, food expiry reminders and cooking guidance are estimates only and may be inaccurate or incomplete. Users are solely responsible for verifying ingredients, allergens, temperatures, best before, use by and expiry dates, food safety and the suitability of any recipe or dietary choice. 

Third-Party Services, Integrations and Content 

Pantheras Global may provide access to, integrate with, import from, or rely upon information from third-party websites, applications, social media platforms, vendors, suppliers and service providers. Pantheras Global is not responsible for the accuracy, legality, availability, security, content or continued operation of any third-party system, website, product or service.

Intellectual Property Rights

All intellectual property rights in the Services, websites, software, applications, products, content and materials provided by Pantheras Global remain the property of Pantheras Global or its licensors unless otherwise expressly agreed in writing.

User Content and Uploaded Materials

Users warrant that they have all necessary rights and permissions to upload, provide or use any information, documents, recipes, images, screenshots, data or other content. Users indemnify Pantheras Global against any claim, loss, liability, damage, cost or expense arising from such content, to the extent arising from the user’s breach of this Disclaimer, unlawful conduct or infringement of third-party rights. 

User Indemnity

Users agree to indemnify and hold harmless Pantheras Global from and against any claims, liabilities, losses, damages, costs and expenses arising from the user’s use of the Services, where and to the extent that such claim, liability, loss, damage, cost or expense arises from the user’s breach of this Disclaimer, unlawful conduct or infringement of third-party rights. 

Limitation of Liability

Nothing in this Disclaimer excludes or limits any liability which cannot lawfully be excluded or limited. To the fullest extent permitted by law, Pantheras Global excludes all liability, whether in contract, tort, negligence, statute or otherwise, for any indirect, consequential, incidental or special loss, including loss of profits, revenue, business opportunity, goodwill, data or business interruption, arising from or related to the use of its Services, websites, software, products or materials. To the fullest extent permitted by law, Pantheras Global’s total aggregate liability arising from or related to the Services, websites, software, products or materials shall not exceed the lesser of:
(a) the fees paid (if any) by the relevant user to Pantheras Global in the 30 days preceding the event giving rise to the claim; and
(b) USD$10. 

Severability

If any provision of this Disclaimer is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver of Rights

Any failure by Pantheras Global to exercise or enforce any right or provision of this Disclaimer shall not constitute a waiver of such right or provision.

Governing Law and Jurisdiction

This Disclaimer and any dispute arising from or related to it shall be governed by the laws of Hong Kong. Users submit to the non-exclusive jurisdiction of the courts of Hong Kong. Pantheras Global may, at its sole discretion, bring, respond to, seek to transfer, seek to stay, or otherwise participate in any proceedings in the courts of Hong Kong or in any other court of competent jurisdiction.

Individual Dispute Resolution and Arbitration 

To the fullest extent permitted by law, any dispute, claim or controversy arising out of or relating to the Services, websites, software, products, materials or this Disclaimer shall be resolved on an individual basis only and not as part of any class, collective, representative, consolidated or similar proceeding. Users waive any right to commence, participate in, or recover relief through any class action, collective action, representative action, private attorney general action or similar proceeding. At Pantheras Global’s election, any such dispute, claim or controversy may be referred to and finally resolved by confidential and binding arbitration administered in English by a recognised arbitral body selected by Pantheras Global. The seat of arbitration shall be Hong Kong. The arbitrator’s decision shall be final and binding and may be entered and enforced in any court of competent jurisdiction. Nothing in this section prevents Pantheras Global from seeking urgent, interim or injunctive relief in any court of competent jurisdiction, including to protect its confidential information, intellectual property or other proprietary rights. If any part of this section is found to be invalid or unenforceable in a particular jurisdiction, that part shall apply only to the minimum extent necessary and the remainder of this section and this Disclaimer shall continue in full force and effect.
